These Terms of Service ("Terms") govern your use of the DialledTech IT Solutions website and any services we provide. By using our website or engaging our services, you agree to these Terms.
1. About Us
DialledTech IT Solutions ("we", "us", "our") is a Melbourne-based Managed IT Services Provider operating in Australia under ABN 27 115 848 004.
2. Services
We provide IT services including but not limited to:
- 24/7 helpdesk and remote support
- Proactive monitoring and alerting
- Cybersecurity implementation and management
- Cloud migrations and backup solutions
- Network upgrades and infrastructure projects
- IT consulting and strategic planning
Specific service deliverables, pricing and timelines will be outlined in a separate Service Agreement or Statement of Work prior to engagement.
3. Quotes & Engagement
Quotes provided are valid for 30 days unless otherwise specified. Services commence only after a written agreement is signed by both parties. Verbal agreements do not constitute a binding contract for service delivery.
4. Fees & Payment
Fees are payable as outlined in your individual Service Agreement. Standard payment terms are 14 days from invoice unless otherwise agreed. Late payments may incur interest at the rate prescribed under the Penalty Interest Rates Act 1983 (Vic).
5. Client Responsibilities
To enable us to deliver our services effectively, you agree to:
- Provide accurate information about your IT environment
- Grant necessary access to systems, networks and data
- Maintain backups of critical data unless backup services are explicitly engaged
- Notify us of any changes that may affect service delivery
- Pay invoices on time and in full
6. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information exchanged during the engagement. This obligation survives the termination of any service agreement.
7. Limitation of Liability
To the maximum extent permitted by Australian law:
- We are not liable for any indirect, consequential, or special damages
- Our total liability under any service agreement is limited to the fees paid by you in the 12 months preceding the claim
- Nothing in these Terms excludes liability that cannot legally be excluded under the Australian Consumer Law
8. Warranties
We provide our services with due care and skill in line with industry standards. We do not warrant that our services will be uninterrupted or error-free, but we will make reasonable efforts to resolve issues promptly.
9. Termination
Either party may terminate a service agreement in accordance with the notice period stated in the agreement. We reserve the right to suspend services immediately for non-payment, breach of contract, or unlawful use.
10. Intellectual Property
Any custom configurations, documentation or materials we create remain our intellectual property until full payment is received. Pre-existing intellectual property remains the property of its original owner.
11. Governing Law
These Terms are governed by the laws of Victoria, Australia. Any disputes will be resolved in the courts of Victoria.
12. Changes to These Terms
We may update these Terms from time to time. The latest version will always be available on this page with an updated revision date. Continued use of our services constitutes acceptance of any updated Terms.
